This Client Service Agreement (“Agreement”) is made between DreamgateAI, (“Dreamgate”, “we”, “us”, or “our”) and the client (“Client”, “you”) identified in an associated Proposal, Statement of Work (SOW), or written agreement.

By engaging Dreamgate’s services, the Client agrees to the following terms:

1. Scope of Services

Dreamgate will provide data and analytics services as agreed in a written Proposal, SOW, or email confirmation, which may include:

  • Address intelligence and enrichment
  • Customer segmentation and persona mapping
  • Location and geospatial analysis
  • API integration and data delivery
  • Competitor and market intelligence
  • Custom data projects, research, or consulting

Each engagement will outline deliverables, timeframes, and fees separately.

2. Term and Termination

  • This Agreement begins on the effective date of engagement and continues until services are completed or terminated.
  • Either party may terminate this Agreement or any engagement with 14 days’ written notice.
  • Termination does not affect the obligation to pay for services rendered up to the termination date.

3. Fees and Payment

  • Fees will be set out in the Proposal or agreed upon in writing.
  • Invoices are payable within 14 days of issue unless otherwise agreed.
  • Late payments may result in service suspension or administrative fees.
  • All fees are exclusive of GST unless otherwise specified.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate, lawful, and complete data where required.
  • Cooperate in good faith, including timely approvals and feedback.
  • Use any Dreamgate-provided insights, data, or outputs responsibly and in accordance with applicable laws.

5. Confidentiality

Each party agrees to keep all non-public, confidential, or proprietary information disclosed during the engagement strictly confidential and not to disclose it to any third party without written consent, except as required by law.

This obligation survives termination of this Agreement for a period of 2 years.

6. Intellectual Property

  • Dreamgate retains ownership of its methods, tools, APIs, and proprietary models used in delivering services.
  • Final deliverables, reports, or insights created specifically for the Client may be used internally by the Client.
  • The Client may not resell, license, or commercially distribute Dreamgate’s content, tools, or enriched data without written permission.
  • Client data remains the property of the Client at all times.

7. Warranties and Disclaimers

  • Dreamgate provides services on an “as-is” and “as-available” basis.
  • We make no guarantees regarding the accuracy, completeness, or performance outcomes of our services or deliverables.
  • To the maximum extent permitted by law, all implied warranties or guarantees are excluded.

8. Limitation of Liability

  • To the fullest extent permitted by law, Dreamgate shall not be liable for any indirect, incidental, special, or consequential damages (including but not limited to lost profits, opportunity, or data), even if advised of the possibility.
  • Dreamgate’s total liability under this Agreement is strictly limited to $1 AUD, except where such limitation is unenforceable under applicable law.
  • The Client agrees to indemnify and hold harmless Dreamgate, its employees, directors, and contractors from any claims arising from use or misuse of the services or outputs.

9. Dispute Resolution

  • Both parties agree to work in good faith to resolve any disputes promptly and informally.
  • If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of Victoria, Australia, under the laws of that state.

10. General Provisions

  • This Agreement represents the full understanding between the parties and overrides any prior verbal or written agreements.
  • Any changes or waivers must be agreed upon in writing.
  • If any clause is deemed unenforceable, the remaining clauses remain in effect.
  • Neither party may assign this Agreement without written consent from the other party.
